Termination

UrbanPulse IO reserves the right to terminate or suspend your access to our services immediately if you violate these Terms or engage in any conduct that we deem harmful to our business or other clients. Upon termination, you remain liable for all fees incurred prior to termination, and we will provide you with any work product completed up to the termination date.

Force Majeure

UrbanPulse IO shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other acts beyond our reasonable control. In such events, we will use reasonable efforts to mitigate the impact and resume normal service as soon as possible.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. The unenforceable provision shall be deemed replaced by an enforceable provision that most closely reflects the intent of the original provision.
